  • Business Succession Planning.  Represented father in establishing a limited liability company to hold investment real estate and to develop a business plan for his daughters to locate and manage the properties, and a gifting plan to take advantage of available discounts in value.
  • Business Succession Planning.  Represented mother in establishing limited liability company and selling fractional interests to her children using a self-canceling promissory note, to save estate tax.
  • Business Succession Planning.  Represented individuals in establishing a gifting plan to reduce estate tax liability and ensure an orderly succession of the business following the parents' deaths.
  • Contracts, Licenses and Agreements.  Prepared a standard form equipment lease, including specially customized insurance and indemnification provisions; designed a form that was easy to use and understand, while still providing the necessary elements to protect the client and maintain commercial reasonability.
  • Employment Issues.  Represented school for hearing disabled children in drafting employee handbook and contracts for teachers.
  • Employment Issues.  Represented terminated employee in negotiating severance agreement.

  • Mergers and Acquisitions.  Represented restaurant owners in seller-financed asset sale of 3 franchised stores.  Helped prepare due diligence materials for delivery to buyer.  Dealt with landlords on lease assignments.  Conducted closing.
