Britney K. Bergen

Transactional Real Estate & Business Attorney

Whether you are seeking a long-time trusted advisor or navigating a transaction for the first time, I provide thoughtful, results-driven counsel focused on protecting your interests, minimizing risk, and guiding matters to a smooth and successful conclusion.

My practice focuses on real estate, general business, and finance and banking matters.  I represent a diverse client base that includes individuals and families, private companies, developers, and condominium and homeowner associations, often in an ongoing advisory capacity.  I value building lasting client relationships, and I am known for delivering efficient, clear, and pragmatic legal advice.  The most important thing though is the quality of my work.

I maintain a broad real estate practice encompassing both commercial and residential matters.  I regularly assist clients with real property acquisitions and sales, leasing matters, and boundary line issues.  My work involves drafting and negotiating purchase and sale agreements, leases, easement agreements, settlement agreements, deeds, and covenants, conditions, and restrictions (CC&Rs).  I have a great deal of experience addressing title insurance issues and leading transactions from the purchase and sale agreement negotiations and initial due diligence through closing.

In addition, I help clients efficiently resolve real estate disputes, including earnest money and boundary line disputes, often without the need for litigation.

My business practice centers on business sales and acquisitions, entity formation, and ongoing corporate governance.  I assist clients on the formation and maintenance of limited liability companies and corporations and oversee corporate maintenance and compliance matters.  I also represent clients on ownership transitions, including asset, stock, and LLC membership interest transactions.  I regularly draft and negotiate employment agreements, severance agreements, non-disclose agreements, operating agreements, shareholders’ agreements, and related corporate documents.  I enjoy collaborating closely with clients to evaluate their options and develop strategies that align with their business objectives.

Finally, my finance and banking practice focuses on the drafting, review, and interpretation of loan documents, most often representing lenders. I also regularly document private loans, including those between family members.

I love watching sports, particularly hockey, football, and Formula 1.  My competitive swimming days are behind me, so now I’m focused on running and tennis.  Most of the time I’m chasing my son around and trying to keep up!

I have been selected as a 2018, 2019, 2020, 2021, 2022, 2023, 2024, and 2025 Washington Rising Star by Super Lawyers (only 2.5% of eligible lawyers receive this distinction each year).
